Terms & Conditions

This agreement is hereby made between “Partner” and Myroomstore AS (“MRS”). Both parties agree that the below stated terms and conditions of this binding agreement are read and fully understood.

1.1  MRS Service Description

MRS will provide Partner with the described services, herein including, development and operation of customized online omni-channel retail solution. Services provides Partner’s end customers with the opportunity to pre-order a variety of quality products from Partner’s own hotel web shop and have the items delivered to Partner’s formal place of business for collection on arrival day.

2.1 Consideration

Partner agrees that MRS will provide Partner with the following services, specifically, development of online platform, operation, management, marketing, purchasing, supplier negotiations, storing, packing, shipping and return orders. Partner agrees to provide MRS with the following, specifically, full access to booking information and all relevant data.

3.1 Responsibilities

Partner will according to this agreement secure and protect all packages delivered by MRS in an equal manner in which Partner secures and protects own property. Should Partner fail to fulfill this responsibility, Partner will be financially responsible to cover the value of lost goods.

4.1 Compensation

Partner will not be held accountable for any cost related to MRS’ services with the exception of the above described responsibility. Partner will aid in the completion of delivery of packages to end customer. Partner will be compensated for each order delivered to Partner’s hotel. MRS will compensate Partner with 20% of total sales made from each sale. MRS will in return have the privilege of delivering the described services to Partner and receive full access to Partner’s booking system.

5.1 Return Policy

In the case of return orders, these will be collected and MRS will cover all costs.

6.1 Non-disclosure of confidential matter

Neither party will at any time, except as authorized in writing by the other party, publish, disclose, or authorize anyone to publish or disclose any confidential matter relating to any aspect of their operations or proprietary information. Each party will safeguard and protect from the review, analysis, or copying by unauthorized persons all data, programs, customer information or other information which is provided to the other party under this Agreement. The provisions of this paragraph will survive the termination of the Agreement to a reasonable extent. MRS will protect Partner's confidential matter and is not subject to own any material provided by Partner, herein including customer information, logo or other sensitive information. 

7.1 Term

This agreement is valid for 12 months and will be automatically renewed unless otherwise is agreed. This Agreement will automatically terminate, and any further obligations of the parties excused, upon the filing for a voluntary or involuntary petition in bankruptcy by or against either party, an assignment for the benefit of creditors by either party, or the appointment of a receiver over the business affairs of either party.

8.1 Entire Agreement

The provisions of this Agreement may be waived, altered, amended or repealed, in whole or in part, only upon the written consent of all parties.

9.1 Governing Law

This Agreement will be deemed to have been executed and delivered within the country of Spain, and the rights and obligations of the parties will be construed and enforced in accordance with, and governed by, the laws of the country Spain.
